By accessing and using LawSave ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms and Conditions ("Terms") govern your access to and use of LawSave's contract analysis platform. By using our Service, you agree to comply with and be bound by these Terms.

2. Description of Service

LawSave is an AI-powered contract analysis platform that provides automated analysis of contracts to identify potential risks, red flags, and problematic clauses. Our Service includes:

  • Automated contract analysis using artificial intelligence
  • Identification of red flags and risk factors
  • Financial and control risk assessment
  • AI-generated questions and negotiation suggestions
  • Professional email templates for contract negotiation

4. User Responsibilities

You agree to:

  • Provide accurate and complete information when using the Service
  • Use the Service only for lawful purposes and in accordance with these Terms
  • Not upload malicious code, viruses, or harmful content
  • Not attempt to reverse engineer, decompile, or extract the source code of our Service
  • Not use the Service to analyze contracts for illegal purposes
  • Maintain the confidentiality of your account credentials (if applicable)
  • Not share your account with unauthorized users

5. Payment Terms

5.1 Pricing

LawSave offers a one-time payment for contract analysis. All prices are displayed in USD and are subject to change. We reserve the right to modify pricing at any time.

Current pricing:

  • Contract Analysis ($9.99): One-time payment for 1 comprehensive contract analysis

All prices are exclusive of applicable taxes, which will be added to your total at checkout where required by law.

5.2 Payment Processing

Payments are processed securely through Stripe, a third-party payment processor. By making a purchase, you agree to provide current, complete, and accurate purchase and account information. You agree to promptly update your account and payment information, including email address and payment method, so we can complete your transactions and contact you as needed.

We accept the following payment methods:

  • Major credit cards (Visa, Mastercard, American Express, Discover)
  • Debit cards
  • Other payment methods as made available by Stripe

You authorize us to charge your payment method for all fees and charges incurred in connection with your use of the Service. If payment cannot be charged to your payment method or if a charge is returned for any reason, we reserve the right to suspend or cancel your access to the Service.

5.3 Refund Policy

By purchasing, you request immediate access to the digital contract analysis. The service is delivered instantly after payment. Once the analysis is generated, your 14-day right of withdrawal is lost. Completed analyses are non-refundable, except in cases of technical error.

Eligible refunds (e.g., technical errors, or before analysis is generated) are processed within 3-5 business days and issued to your original payment method. To request a refund, please visit our refund request page.

Refunds will not be provided for:

  • Completed analyses (once the analysis report has been generated)
  • Services that have been fully utilized
  • Fraudulent or abusive use of the Service

6. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices regarding the collection and use of your information.

  • We do not permanently store your contract documents
  • Contract text is processed securely and deleted after analysis
  • We do not share your contract data with third parties
  • All data transmission is encrypted
  • We collect minimal information necessary to provide the Service

7. Intellectual Property

The Service and its original content, features, and functionality are owned by LawSave and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service without our prior written consent.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAWSAVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

LawSave's total liability for any claims arising from or related to the Service shall not exceed the amount you paid to LawSave in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

LawSave does not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected. We do not guarantee the accuracy, completeness, or usefulness of any information provided by the Service.

10. Indemnification

You agree to defend, indemnify, and hold harmless LawSave and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@lawsave.net. We will try to resolve the dispute within 30 days of receiving your notice.

13.2 Binding Arbitration

If we cannot resolve a dispute informally, you and LawSave agree to resolve any claims relating to these Terms or the Service through final and binding arbitration, except as set forth below. The arbitration will be conducted by a single arbitrator in accordance with the rules of the American Arbitration Association (AAA).

13.3 Exceptions to Arbitration

You may opt out of arbitration and bring claims in small claims court in your jurisdiction, or you may bring claims in court to seek injunctive relief to stop unauthorized use or abuse of the Service.

13.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service that are not subject to arbitration shall be resolved in the state and federal courts located in Delaware.

14. Account Registration and Security

Some features of the Service may require you to create an account. When you create an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and identification
  • Accept all responsibility for activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You are responsible for maintaining the confidentiality of your account credentials. LawSave is not liable for any loss or damage arising from your failure to comply with this security obligation.

15. Prohibited Uses

You agree not to use the Service:

  • In any way that violates any applicable federal, state, local, or international law or regulation
  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
  • To impersonate or attempt to impersonate LawSave, a LawSave employee, another user, or any other person or entity
  • In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service
  • To introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
  • To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service

16. Service Availability and Modifications

We reserve the right to:

  • Modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice
  • Perform scheduled or unscheduled maintenance that may temporarily interrupt the Service
  • Update, change, or remove features or functionality of the Service
  • Limit access to certain features or impose usage restrictions

We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service. We will make reasonable efforts to notify users of significant changes or interruptions.

The Service may contain links to third-party websites, services, or resources that are not owned or controlled by LawSave. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services.

You acknowledge and agree that LawSave shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party services.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision will be replaced with a valid provision that comes closest to the intent of the invalid provision.

20. Waiver

No waiver by LawSave of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of LawSave to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

21. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without LawSave's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. LawSave may freely assign or transfer these Terms without restriction.

22. Force Majeure

LawSave shall not be liable for any failure or delay in performance under these Terms which is due to earthquake, fire, flood, act of God, act of war, terrorism, epidemic, pandemic, labor dispute, civil commotion, interruption of power or other utility service, or any other cause beyond our reasonable control.

If such circumstances continue for more than 30 days, either party may terminate these Terms by providing written notice to the other party.

23. Export Control

The Service may be subject to export control laws and regulations. You agree to comply with all applicable international and national laws that apply to the Service, including the Export Administration Regulations, as well as end-user, end-use, and destination restrictions issued by U.S. and other governments.

You represent and warrant that you are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or services, or that has been designated by the U.S. Government as a "terrorist supporting" country.

24. Feedback and Suggestions

We welcome your feedback, comments, and suggestions about the Service ("Feedback"). By submitting Feedback, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Feedback in any form, medium, or technology now known or later developed.

You acknowledge that we may use your Feedback without any obligation to compensate you, and you waive any rights you may have in such Feedback.

25. Beta Features and Testing

From time to time, we may offer access to beta features or testing programs. These features are provided "as is" and may be modified, suspended, or discontinued at any time without notice. Beta features may contain bugs, errors, or other issues that could cause system failures or data loss.

By using beta features, you acknowledge that they may not be fully functional and agree to use them at your own risk. We are not liable for any issues arising from the use of beta features.

26. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LawSave regarding the use of the Service and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.
